Welcome to Team Resonate. These Terms of Service ("Terms") govern your use of our website development and digital marketing services ("Services") offered via https://teamresonate.org. By accessing or using our Services, you agree to be bound by these Terms.

1. Services Provided

Team Resonate provides the following services:

Please note: Services such as SEO and CRO are subject to market fluctuations and algorithm changes and do not guarantee specific business results.

• Website design and development, including:
  • Conversion Rate Optimization (CRO)
  • Search Engine Optimization (SEO)
  • High-Performance Websites (HPW)
  • Customer Relationship Management systems (CRM)
• Google Ads management
• Google Analytics setup and integration

We work closely with clients to deliver high-performing websites designed to elevate their digital presence and support business growth. The agreed project scope must be clearly outlined and mutually confirmed in writing (e.g., project proposal, signed agreement, or email confirmation).

Delivery shall be deemed complete once the agreed-upon scope, as confirmed in writing, has been executed by Team Resonate, regardless of subjective satisfaction.

2. Pricing and Payment

Lump Sum Plan

• $1,650: Standard price where 40% is paid upfront and 60% is paid upon website completion.
• $1,400: Discounted rate for clients who make full payment upfront before development begins. This reflects a 15% discount off the standard price.
• Includes up to 5 pages; additional pages are $100 each.
• Optional Unlimited Edits Add-on for $50/month, which includes changes to text, colors, layout positioning, and other minor changes. Structural or comprehensive design changes (e.g., full page remakes or significant restructuring) are considered major changes and are not covered. Major changes are to be discussed and settled on a case-to-case basis based on complexity and workload. Adding on Unlimited Edits later on will cost $100 to start, followed by $50 monthly.
• Additional $25/month for Hosting services
• Add a Blog section for $200.
• Prompt customer support is included in all plans.
• Lump Sum clients without the Unlimited Edits Add-on are not entitled to any revisions after the website is considered delivered.
• Domain Name registration and renewal costs excluded.

Monthly Plan

• An initial setup payment of $200 is required to begin work. This upfront payment serves as a non-refundable commitment to initiate project development.
• Following that, payments of $150/month apply.
• Minimum commitment of 5 months.
• Includes up to 5 pages; additional pages are $100 each.
• Includes Unlimited Edits, covering minor changes (text, color, layout positioning). Major changes are not included.
• Blog section available for $200.
• Quick and fast human response help is included.
• Lifetime updates available while subscribed: This includes ongoing bug fixes, performance enhancements, and minor improvements to the website for as long as your subscription remains active. Once the subscription ends, updates will no longer be provided.
• To switch from Monthly Plan to Lump Sum (Permanent Plan), a $1,000 one-time payment is required, regardless of months already paid.
• Domain Name registration and renewal costs excluded.

All payments must be made promptly. Work commences only after the relevant payment has been received.

Domain Name registration and renewal costs are charged separately from both Lump Sum and Monthly Plans. These costs will be billed in addition to your selected plan and are required for the website to remain accessible online.

Refunds will only be processed if legally required under applicable consumer protection laws, and Team Resonate reserves the right to determine the appropriate remedy (including but not limited to corrections, adjustments, or refunds as applicable).

3. Client Responsibilities

You agree to:

• Provide accurate and complete information necessary for us to deliver our Services.
• Respond to requests for content, approvals, and feedback in a timely manner.
• Ensure that you have the necessary rights to any content you provide (e.g., logos, text, images).
• You are solely responsible for ensuring the legality and licensing of all content you provide. Team Resonate shall not be liable for any intellectual property infringement or legal disputes arising from client-supplied materials.

4. Limitations of Liability

While we strive to deliver websites that are optimized for performance and user engagement:

• We do not guarantee specific business outcomes such as traffic, conversions, or revenue. Services like SEO, CRO, and digital marketing are inherently variable and influenced by many external factors beyond our control. We are not liable for any lack of performance or results in these areas.
• We are not liable for any indirect, incidental, or consequential damages resulting from use or performance of your website or associated tools.
• Our liability is strictly limited to the provision of the website as agreed upon.
• In no event shall our total liability exceed the amount you paid for the Services.
• We are not liable for any delay or failure to deliver services due to circumstances beyond our reasonable control, including but not limited to third-party service outages, server issues, or force majeure events.
• Nevertheless, we will make every reasonable effort to deliver a high-quality, functional website.

5. Revisions and Support

• Lump Sum clients without the Unlimited Edits Add-on are not entitled to any revisions after the website is delivered.
• Clients who subscribe to the Unlimited Edits Add-on or are on the Monthly Plan receive unlimited minor revisions, which include text edits, color changes, and minor layout positioning.
• Major changes, such as redesigning entire pages or significant restructuring, are not included and may incur additional charges.
• Quick and fast human response help is included in all plans.

Definitions

• "Minor changes" refer to edits such as text updates, color changes, and small layout adjustments.
• "Major changes" refer to complete redesigns, structural reworks, or substantial additions to the website not covered in the agreed scope.

6. Business Continuity

In the unfortunate event that Team Resonate ceases operations, we will do our utmost to ensure your business is not affected:

• We will help facilitate a smooth transfer to another agency or independent hosting solution.
• You will receive all files, assets, and access related to your website, Google Analytics, Google Ads, and other integrations.
• We will assist in finding alternative hosting options where possible.
• After our closure, we are no longer liable for support or services.
• Monthly Plan users will be granted full ownership of their website, but future hosting and management will be your responsibility.

7. Third-Party Services

We may integrate third-party services such as Google Analytics and Google Ads as part of our offering. You acknowledge that:

• These services are governed by their own terms and policies.
• We are not responsible for changes, interruptions, or issues caused by these third-party services.

8. Intellectual Property

• You retain ownership of all content you provide to us.
• Upon full payment, you own the completed website design and content created for your business.
• We reserve the right to showcase your website in our portfolio or marketing materials unless otherwise requested.

9. Termination

We may terminate our Services if:

• You fail to make timely payment or breach any of these Terms.
• You become unresponsive or fail to provide required content or approvals for more than 14 days, despite multiple reminders and follow-ups from us.

You may cancel our Services anytime before delivery, but no refunds will be issued for work already completed.

10. Changes to Terms

We reserve the right to update these Terms at any time. Continued use of our Services after changes constitutes acceptance of the updated Terms.

Before initiating legal proceedings, both parties agree to attempt to resolve any dispute in good faith through informal negotiations for a period of no less than 14 days.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore. All disputes shall be submitted exclusively to the courts of Singapore.

12. Data Protection and Privacy

We handle all data in compliance with applicable privacy laws, including Singapore’s Personal Data Protection Act (PDPA). For more information, please refer to our Privacy Policy.
